1. Acceptance of Terms

By accessing or using any Multisystems service, website, or application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree to these terms, you must not access or use our services. These terms apply to all users, including businesses, employees, contractors, and visitors.

We may update these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the modified terms.

2. Description of Services

Multisystems provides AI-powered operating systems for businesses, including ReputationSystems (review management and sentiment analytics), HotelSystems (unified hotel operations), AdvertisingSystems (campaign orchestration), and RevenueSystems (dynamic pricing optimization).

Services are provided on a subscription basis as described on our pricing pages. Features, availability, and supported integrations may vary by plan and are subject to change with reasonable notice.

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide at least 30 days notice before discontinuing any core service feature that you actively use.

3. User Accounts

You must create an account to access most features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update it as necessary. You must notify us immediately of any unauthorized access to or use of your account.

We reserve the right to suspend or terminate accounts that contain false information, are used in violation of these terms, or pose a security risk to our platform or other users.

4. Payment & Billing

Subscription fees are billed monthly or annually as selected during enrollment. All fees are quoted in US dollars unless otherwise stated. Prices are exclusive of applicable taxes, which will be added where required by law.

Payment is due at the start of each billing cycle. We accept major credit cards and ACH transfers. Failed payments will result in a grace period of 7 days, after which access may be suspended until payment is resolved.

Refunds are handled on a case-by-case basis. Annual subscriptions may be eligible for a prorated refund within the first 30 days. We reserve the right to modify pricing with at least 30 days written notice to active subscribers. Price changes will take effect at the start of your next billing cycle.

5. Intellectual Property

All content, features, functionality, software, designs, and documentation of Multisystems services are owned by Multisystems Inc. and are protected by copyright, trademark, patent, and other intellectual property laws.

You retain full ownership of your data and content uploaded to our platform. By using our services, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving our services.

You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on our platform or any part thereof without prior written consent.

6. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these terms. You must not use our services to violate any applicable law or regulation, infringe on third-party rights, or transmit harmful or malicious code.

Prohibited activities include but are not limited to: unauthorized data scraping, attempting to access other users' accounts, circumventing security measures, generating fake reviews or misleading content, and using the platform for spam or harassment.

We reserve the right to investigate violations and take appropriate action, including suspension or termination of accounts, reporting to law enforcement, and pursuing legal remedies.

7. Service Level Agreement

We commit to a 99.9% uptime guarantee for all production services, measured on a monthly basis. Scheduled maintenance windows (announced at least 48 hours in advance) are excluded from uptime calculations.

If we fail to meet the 99.9% uptime commitment in any calendar month, you may be eligible for service credits. Credits are calculated as a percentage of your monthly fee proportional to the downtime experienced and must be requested within 30 days.

This SLA does not apply during force majeure events, scheduled maintenance, or issues caused by factors outside our reasonable control including third-party service outages, customer network issues, or misuse of the platform.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Multisystems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or relating to your use of our services.

Our total aggregate liability for any claims arising under or related to these terms shall not exceed the total amount paid by you to Multisystems in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Multisystems Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the services, your violation of these terms, or your infringement of any third-party rights.

We will provide you with prompt notice of any such claim and reasonable cooperation in its defense. You may not settle any claim without our prior written consent if the settlement would impose obligations on us beyond the payment of money.

10. Termination

Either party may terminate the subscription at any time with written notice. Monthly subscriptions terminate at the end of the current billing cycle. Annual subscriptions may be terminated with prorated refund eligibility as described in the Payment section.

We may suspend or terminate your access immediately if you violate these terms, fail to pay applicable fees after the grace period, or if required by law. Upon termination, your right to use the services ceases immediately.

You may request export of your data within 30 days of termination. After 30 days, we will delete your data from active systems in accordance with our Privacy Policy. Certain provisions of these terms survive termination, including intellectual property, limitation of liability, and indemnification.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

You consent to the exclusive jurisdiction of the federal and state courts located in Delaware for the resolution of any disputes arising under or relating to these terms.

12. Dispute Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days after written notice of the dispute.

If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Delaware, and the arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive relief in court to prevent irreparable harm, such as intellectual property infringement or unauthorized data access.

13. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email to account holders and through a prominent notice on our platform at least 30 days before the effective date.

Your continued use of our services after the effective date constitutes acceptance of the updated terms. If you do not agree with the changes, you must stop using our services and may terminate your subscription.
